TERMS & CONDITIONS

Submission of your artwork to the Hands for Humanity NFT Campaign CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL TERMS AND CONDITIONS. 

 

BINDING AGREEMENT

In order to apply to the Hands for Humanity NFT Campaign, you must agree to the NFT Campaign Terms and Conditions. Please read these Terms and Conditions carefully prior to your application to ensure you understand and agree to them. You agree that your submission of any and all artwork constitutes an agreement to these Terms and Conditions. These Terms and Conditions form a binding legal agreement between you and Hands for Humanity with respect to the NFT Campaign. By entering the NFT Campaign, you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the selection decisions for final inclusion in the NFT Campaign as final and binding.

 

ELIGIBILITY

To be eligible to enter the Hands for Humanity NFT Campaign, an Artist must: (a) be at least 18 years old as of the date of entry, or have written permission from a parent or legal guardian if less than 18 years old; (b) sign up at the official Submission page, and (c) provide a valid email address. 

Artists will be notified via email if their artwork has been selected for the NFT Campaign. Selected Artists will have one (1) week to reply with their final image submission.

 

HOW TO APPLY

Artists are invited to apply for the Hands for Humanity by submitting a form using the online form provided at the official Submission form. The application must fulfill all requirements provided in the instructions on the form. Applications that are incomplete or do not adhere to the rules or specifications of the NFT Campaign may be disqualified at the sole discretion of Hands for Humanity. You must provide the information requested. You may not apply more than once or use multiple email addresses, identities, or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent these terms and conditions of the NFT Campaign, your application may be disqualified at the sole discretion of Cosmic Wire and Hands for Humanity.

Hands for Humanity accepts no responsibility for lost, delayed, damaged, defaced, or mislaid applications, however, caused. Proof of submitting the form and artwork does not constitute proof of applications. All applications will be deemed made by the Artist submitted at the time of completion.

 

HANDS FOR HUMANITY REQUIREMENTS 

The Artists and their applications to this NFT Campaign have to meet the following criteria ("Hands for Humanity Requirements"): 

Art can be created and submitted in any style or medium.  Initial submissions must include: (1) the Artist’s Name or Pseudonym; (2) Artwork Title and Synopsis; (3) Links to the Artist’s Social Media; (4) be formatted as a digital image (PNG, JPG, BMP, TIFF) with a max file size of 10MB. 

The Artists must be 18 years of age minimum at the time of submission or have a legal representative in case the Artists are under 18 years of age at the time of submission.

• The Artwork must not be derogatory, offensive, threatening, defamatory, disparaging, libelous, or contain any content that is inappropriate, indecent, sexual, profane, tortuous, slanderous, discriminatory in any way, or that promotes hatred or harm against any group or person or otherwise does not comply with the theme and spirit of the NFT Campaign.
• The Artwork must not contain content, material, or any element that is unlawful, or otherwise in violation of or contrary to all applicable federal, state, or local laws and regulations including the laws or regulations in any state where the NFT Campaign and supporting statements and artworks are created.
• The Artwork must not contain any content, material, or element that displays any third party advertising, slogan, logo, trademark, representation of characters indicating sponsorship or endorsement by a third party, commercial entity or that is not within the spirit of the NFT Campaign, as determined by Organizer, in its sole discretion.
• The Artwork must be original, unpublished, and unminted works that do not contain, incorporate, or otherwise use any content, material, or element that is owned by a third party or entity.
• The Artwork cannot contain any content, element, or material that violates a third party's publicity, privacy, or intellectual property rights.
• The Artist’s submission is not subject to any actual or threatened litigation or claim.
• The Artist does not include any disparaging remarks relating to the Organizer or regarding any third party.
• During the NFT Campaign Period, the Cosmic Wire and Hands for Humanity team, its agents, and judges will be evaluating the submissions and reviewing the Artist’s social media to ensure that they meet the Hands for Humanity Art Requirements. Hands for Humanity reserves the right, in its sole discretion, to disqualify any Artist who submits the application and supporting statements that do not meet the Hands for Humanity NFT Campaign Requirements. Incomplete applications or applications not complying with these Terms and Conditions are subject to disqualification.
• Artists of the selected artworks for the NFT Campaign agree to perform at least one round of minor edits with 72 hours’ notice.
• After the artwork is submitted to Cosmic Wire and Hands for Humanity, no contestant may thereafter mint the artwork elsewhere as an NFT.

In consideration of selection, identification, and/or promotion of the Artist who created a selected artwork, and for any residual NFT revenue which the Artist may receive, the Artist agrees that all selected artwork becomes the sole and exclusive property of the Cosmic Wire and Hands for Humanity NFT Campaign.  

The value of residual NFT revenue to selected Artists may be considered taxable income which the artist or his/her legal representative takes charge of independently and individually.  Cosmic Wire and Hands for Humanity do not provide tax advice, and selected Artists are encouraged to consult tax professionals with regard to any residual NFT revenue.

Artists will be rightfully credited as the creators of their artwork. However, Cosmic Wire and Hands for Humanity cannot be held responsible for inadvertent or clerical errors committed by third parties in the publishing of the artwork and/or credits for the same. Artists shall hold the right to object to the mistreatment of their artwork if such mistreatment is prejudicial to the reputation of the Artist. If the artwork submitted by contestants is materially altered or distorted (reasonable cropping may occur), the Artists reserve their right to demand the withdrawal of the artwork from public use or display.

 Artists agree to receive emails, where they can choose to unsubscribe at any time and are aware Cosmic Wire and Hands for Humanity team may contact you by email.

 

RIGHTS AND WARRANTIES 

By applying for the Hands for Humanity NFT Campaign and providing your original artwork, you understand and agree that Hands for Humanity and anyone else acting on behalf of the Hands for Humanity or its respective licensees, successors, affiliates and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Hands for Humanity Campaign, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes without any further compensation, notices, review, or consent. 

By applying for the Hands for Humanity NFT Campaign, you represent and warrant that your entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. If your application and submitted artwork infringe upon the intellectual property right of another, you will be disqualified at the sole discretion of Hands for Humanity. If the content of your entry is claimed to constitute an infringement of any proprietary or intellectual proprietary rights of any third party, you shall, at your sole expense, defend or settle against such claims. You shall indemnify, defend, and hold harmless Hands for Humanity from and against any suit, proceeding, claims, liability, loss, damage, costs, or expense, which Hands for Humanity may incur, suffer, or be required to pay to arise out of such infringement or suspected infringement of any third party’s right.

 

INDEMNIFICATION 

To the maximum extent permitted by law, Artists indemnify and agree to keep indemnified Cosmic Wire and Hands for Humanity at all times from and against any liability, claims, demands, losses, damages, costs, and expenses resulting from any act, default, or omission of the Artist and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, Artists agree to defend, indemnify and hold Cosmic Wire and Hands for Humanity harmless from and against any and all claims, actions, suits, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or accruing from:

(i) any submission, statements, or other material uploaded or otherwise provided by the Artist that infringes any copyright, trademark, trade secret, trade dress, patent, or another intellectual property right of any person or defames any person or violates their rights of publicity or privacy;

(ii) any misrepresentation made by Artist in connection with the NFT Campaign;

(iii) any non-compliance by Artist with these Terms and Conditions; 

(iv) claims brought by persons or entities other than the parties to these Terms and Conditions arising from or related to Artist’s involvement with the NFT Campaign;

(v) acceptance, possession, misuse, or use of any prize or participation in any NFT campaign-related activity or participation in the Hands for Humanity NFT Campaign;

(vi) any malfunction or other problem with the Hands for Humanity Site in relation to the entry and participation in the Hands for Humanity by Artist;

(vii) any error in the collection, processing, or retention of entry or voting information in relation to the entry and participation in the NFT Campaign by Artist and in the voting process by consumers; 

or (viii) any typographical or other error in the printing, offering, or announcement of any prize or winners in relation to the entry and participation in the NFT Campaign by the Artist.

 

JUDGING 

The artworks for the NFT Campaign will be selected by Hands for Humanity Judges. Artists whose work has been selected will be notified via email. All selected Artists will receive an email from [email protected].  Cosmic Wire and Hands for Humanity shall have no liability for a Winner's failure to receive notices due to spam, junk e-mail, or other security settings or for an Artist’s provision of incorrect or otherwise non-functioning contact information. If selected Artists cannot be contacted, is ineligible, or fails to make any follow-up submissions within 14 (fourteen) days from the time award notification was sent, or fails to timely return a completed and executed declaration and release as required, the selection may be forfeited and an alternate Artist or artwork selected. Receipt of any rewards or downstream royalties from NFT sales by the Artist is conditioned upon compliance with any and all federal, state, and local laws and regulations. Any violation of these official Terms and Conditions by an Artist at the sole discretion of Hands for Humanity may result in the Artist's disqualification as a selected participant, and all privileges as a participant will be immediately terminated. 

You may request a copy of the list of selected artists and their artwork. All such requests must be sent within 14 (fourteen) days from the end of the Hands for Humanity NFT Campaign Entry Period.

 

REWARDS

Artists whose work has been selected for the Hands for Humanity NFT Campaign will receive:

1. Identification and promotion in a global publicity campaign, along with their artwork; 
2. Eligibility for their artwork to be physically reproduced and exhibited in Los Angeles;
3. A certificate of thanks from the Kragen family and the Foundation;
4. Eligibility to receive a portion of residual revenue from NFT sales associated with the project in perpetuity.

 Any and all expenses resulting from an Artist’s participation in the NFT campaign, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of the Artist. Submission of artwork for consideration by the NFT Campaign constitutes permission for Cosmic Wire and Hands for Humanity to use the Artist’s name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

 

ELIMINATION

Any false information provided within the context of the NFT Campaign by the Artist concerning identity, digital currency public address if required, mailing address, email address, ownership of right, or non-compliance with these Terms and Conditions or the like may result in the immediate elimination of the Artist from the NFT Campaign.

Cosmic Wire and Hands for Humanity's failure to enforce any term of these Terms and Conditions will not constitute a waiver of that or any other provision. Cosmic Wire and Hands for Humanity reserves the right to disqualify an Artist who violates the Terms and Conditions or interferes with this NFT Campaign in any manner. If an Artist is disqualified, Hands for Humanity reserves the right to terminate that Artist’s eligibility to participate in the NFT Campaign.

Any attempt by an Artist to deliberately damage any website or undermine the legitimate operation of Hands for Humanity may be a violation of criminal and civil laws. Should such an attempt be made, Hands for Humanity reserves the right to seek damages to the fullest extent permitted by law.

 

CHANGES TO THE NFT CAMPAIGN 

If for any reason the Hands for Humanity NFT Campaign is not capable of proceeding as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes that corrupt or affect the administration, security, fairness, integrity, or proper conduct of the NFT Campaign, Hands for Humanity reserves the right at its sole discretion to cancel, terminate, modify or suspend the Hands for Humanity NFT Campaign.

 

LIMITATION OF LIABILITY

By entering the Hands for Humanity NFT Campaign Artist agrees to release and hold Cosmic Wire and Hands for Humanity and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors harmless from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not by (i) such Artist’s participation in the Hands for Humanity NFT Campaign and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) unauthorised human intervention in any part of the Hands for Humanity NFT Campaign; (iii) electronic or human error in the administration of the Hands for Humanity or the processing of entries; (iv) technical errors of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (v) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (vi) printing errors; (vii) lost, late, postage due, misdirected, or undeliverable mail.

 

JURISDICTION AND DISPUTES

These NFT Campaign Terms and Conditions shall be governed by, subject to, and construed in accordance with the laws of the State of California, and of the United States of America, without regard to conflict of law. If any provision(s) of these Terms and Conditions is held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. If any dispute arises in connection to the Hands for Humanity NFT Campaign, parties shall aim to resolve such dispute amicably. To the extent permitted by law, the rights to litigate, seek injunctive relief, or make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this NFT Campaign are hereby excluded, and Artist expressly waives any and all such rights.

 

PRIVACY

Hands for Humanity NFT Campaign respects your right to privacy and takes personal data protection extremely seriously.  We will provide the highest level of protection for your personal data as possible. 

HANDS FOR HUMANITY WILL NEVER ASK YOU FOR YOUR PERSONAL WALLET LOGIN INFO, SEED PHRASE, PRIVATE ADDRESS INFORMATION, OR ASK YOU TO SEND THE HANDS FOR HUMANITY MONEY/CRYPTOCURRENCY AT ANY POINT.
